Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the CAMCESS website, software platform, applications, APIs and related services (the "Services") provided by Intellica Camcess Software Solutions Private Limited, a company incorporated under the laws of India ("CAMCESS," "we," "us," or "our"). By accessing the website, creating an account, accepting an Order Form, starting a subscription or otherwise using the Services, you agree to these Terms. If you use CAMCESS on behalf of a company or other entity ("Customer"), you confirm you have authority to bind that entity, and "you" refers to that entity and its authorized users ("Authorized Users"). If you do not agree, do not use CAMCESS. Our handling of personal information is described in the Privacy Policy, which forms part of these Terms.
CAMCESS is a cloud-based customer success platform. Depending on your plan, the Services may include account and customer management; customer journeys; onboarding, adoption, renewal and offboarding workflows; success plans, objectives and tasks; customer health scores; analytics, reporting and dashboards; engagement tracking; churn-risk and retention insights; AI-generated recommendations and summaries; a Customer Portal and Mutual Success Plans; advocacy and review tracking; integrations (including Google, CRM, billing and product analytics tools); email and calendar functionality (including showing customer email history from emails you send or copy to CAMCESS, showing customer meetings, sending emails and scheduling meetings); APIs; notifications and workflow automation; and other features we introduce from time to time. Features may vary by plan, configuration, location and technical requirements.
We may modify, update, suspend or discontinue features. Where reasonably practicable, we will give advance notice of changes that materially reduce the core functionality of a paid Service.
We may update these Terms. For material changes we will notify you through the website, email or the CAMCESS application. Updated Terms take effect on the date stated in the notice, and continued use after that date means you accept them.
You confirm that you are legally able to enter into a binding agreement, have authority to accept these Terms, provide accurate and current information, and will use CAMCESS in compliance with applicable law. You are responsible for your Authorized Users' compliance with these Terms.
You are responsible for keeping credentials, passwords, authentication methods and API keys confidential, and for activity under your account unless caused by our failure to maintain reasonable security. Notify us promptly if you suspect unauthorized access.
CAMCESS and its licensors own all rights in the platform, software, workflows, templates, interfaces, designs, documentation, algorithms, models, AI systems, analytics methods, trademarks and other intellectual property of the Services. No rights are transferred to you except those expressly granted here.
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right during your subscription period to use the Services for your internal business purposes, and to permit your Authorized Users to do the same.
As between you and CAMCESS, you own your Customer Data. "Customer Data" means data, records, files, customer and account information, communications, usage information, personal information, configurations, success plans, notes, tasks and other information submitted to or collected through the Services on your behalf, including data you choose to sync from third-party services such as Google.
You grant CAMCESS a limited, worldwide, non-exclusive right to host, store, process, transmit and use Customer Data solely as necessary to provide, operate, support, secure and maintain the Services, prevent fraud and abuse, troubleshoot problems, comply with law, generate outputs you request, and perform our obligations under these Terms.
Google user data that you sync into CAMCESS is also governed by section 5 of these Terms and section 4 of the Privacy Policy, which impose additional restrictions on how we may use it.
You confirm that you have all rights, permissions, notices and consents needed to provide Customer Data to CAMCESS and for us to process it as described in these Terms, and that your use of CAMCESS will not violate privacy, data protection, confidentiality, employment, contract, intellectual property or other laws.
We may create aggregated or de-identified information from use of the Services that does not identify you, any individual or any specific account, and use it to improve the Services, monitor performance, develop features, conduct analytics, create benchmarks and improve security. This section does not apply to Google user data, which is used only as described in the Privacy Policy and section 5 below. We will not sell your identifiable Customer Data to third parties for their independent marketing purposes.
If you give us suggestions or feedback, you grant us a perpetual, worldwide, irrevocable, royalty-free right to use it without compensation or attribution. This does not transfer ownership of Customer Data.
Documentation, templates, reports, educational materials and product content we provide may be used only as permitted through the Services. You may not reproduce, resell, distribute, publicly display, commercially exploit, reverse engineer or create derivative works from them without written permission.
If you provide logos, colors or other branding for your Customer Portal, you confirm you have the right to do so and grant us permission to use them solely to provide the configured Services.
You and your Authorized Users must not:
We may investigate suspected violations and suspend or restrict access where reasonably necessary to protect the Services, CAMCESS, customers, users or third parties. You remain responsible for content submitted through your account.
CAMCESS may provide AI and machine learning features, such as recommendations, summaries, classifications, health scores, churn-risk indicators, forecasts, and suggested email replies and follow-ups based on communication history ("AI Features"). AI Features assist your customer success team and do not replace professional judgment. Outputs may be inaccurate, incomplete, outdated or biased, and you are responsible for reviewing them, including any suggested reply or follow-up, before relying on or sending them. We do not guarantee that any prediction, score, recommendation or forecast will correctly anticipate future events or customer behavior. AI Features should not be the sole basis for decisions that materially affect an individual's employment, legal rights, financial position or access to essential services.
CAMCESS does not use Google user data to develop, improve or train generalized or non-personalized AI or machine learning models, and does not allow its third-party AI providers to do so.
We will use commercially reasonable efforts to provide the Services in accordance with these Terms. Except as stated in a written agreement between us, and to the maximum extent permitted by law, the Services are provided "AS IS" and "AS AVAILABLE", and we disclaim all warranties, whether express, implied or statutory, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, accuracy, reliability, completeness and error-free operation. We do not warrant that the Services will meet every requirement, that defects will be corrected, that integrations or third-party services will remain available, or that AI outputs will be accurate.
We do not guarantee any level of retention, renewal rate, net revenue retention, churn reduction, expansion, adoption, satisfaction, ROI or other business results. Examples, case studies, benchmarks and projections are illustrative only.
If you connect a Google account to CAMCESS (for example for sign-in, sending email through Gmail, or Google Calendar):
Our collection and processing of personal information is governed by the Privacy Policy. Where you use CAMCESS to process personal data of your customers, employees or other individuals, we may enter into a Data Processing Addendum ("DPA") where required by law. You remain responsible for determining what personal information you upload, your lawful basis, notices and consents, retention periods and any special restrictions. We may use service providers and subprocessors for hosting, infrastructure, analytics, communications, security, support and AI processing, and we remain responsible for their performance of data-processing obligations to the extent required by law or the DPA.
CAMCESS may integrate with third-party services such as CRM, billing, payment, analytics, email, calendar, video conferencing, storage, identity and AI providers. Your use of them is subject to their terms. We do not control them and do not guarantee their availability, security or continued compatibility, and we may modify or discontinue an integration if the third party changes or discontinues its API or service. You authorize us to exchange data with third-party services you enable, and you are responsible for obtaining the accounts, permissions and licenses needed. We are not responsible for losses caused solely by the acts, omissions, outages or policy changes of a third-party service.
Fees, subscription periods, renewal terms and usage limits are set out in your Order Form, subscription page or invoice. Fees are exclusive of applicable taxes (including GST, VAT, sales and withholding taxes) unless stated otherwise, and you are responsible for them, except taxes on our income. Where withholding is legally required, you will provide appropriate documentation and cooperate to minimize it where legally permissible. Unpaid fees that are due remain payable.
You will defend, indemnify and hold harmless CAMCESS, its affiliates, directors, officers, employees, contractors and representatives from claims, damages, losses, liabilities, costs and reasonable legal fees arising from: Customer Data; use of the Services in violation of these Terms or applicable law; infringement of third-party rights; your failure to obtain required permissions or consents; or disputes between you and your own customers, users, employees or other third parties.
Subject to these Terms, CAMCESS will defend you against a third-party claim alleging that your authorized use of the Services infringes that third party's intellectual property rights. We may obtain the right for you to continue using the Service, modify or replace it so it is non-infringing, or terminate the affected Service with a prorated refund of prepaid fees for the unused period. We have no obligation to the extent a claim results from Customer Data, your modifications, use outside the permitted scope, combination with products we did not supply, use of an unsupported version, or continued use after we notify you to stop.
To the maximum extent permitted by law, CAMCESS and its affiliates, licensors, suppliers, officers, directors, employees, contractors and agents will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, anticipated savings or data, business interruption or costs of substitute services, even if advised of the possibility.
Our total aggregate liability arising from or relating to these Terms or the Services will not exceed the fees actually paid or payable by you for the Services giving rise to the claim in the twelve (12) months before the event giving rise to the claim. For free Services, our aggregate liability will not exceed INR 10,000. Nothing in these Terms limits liability that cannot legally be limited. These limits apply regardless of the legal theory of the claim.
Each party may receive the other's confidential information. The receiving party will use it only to perform or exercise rights under the agreement, protect it with reasonable safeguards, and disclose it only to employees, contractors, advisors or service providers who need to know and are bound by confidentiality obligations. Confidential information does not include information that is public without breach, already lawfully known, independently developed, lawfully received from a third party without restriction, or required to be disclosed by law (with legally permitted notice).
These Terms are governed by the laws of India, without regard to conflict-of-law principles. The parties will first try in good faith to resolve any dispute through discussions between authorized representatives. If it is not resolved within thirty (30) days, either party may bring the dispute before the courts of competent jurisdiction, and, subject to applicable law, the courts located in Hyderabad, Telangana, India have exclusive jurisdiction. Either party may seek urgent interim, injunctive or equitable relief from a competent court to prevent unauthorized use of intellectual property, confidential information, data, security credentials or other rights.
